Liquid I.V. Outside Lands ® 2023 Ticket Giveaway Official Rules

**1. NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. The Sponsor of the Liquid I.V. Outside Lands 2023 Ticket Giveaway is LIV Group, Inc., dba Liquid I.V. (“Sponsor” or “Liquid I.V.”). The Sponsor and other entities involved in this promotion are referred to herein as the “Promotion Entities”.** “Promotion Entities” are the Sponsor and their affiliates, subsidiaries, and agencies. Promotion Entities, Sponsor and their parent, subsidiary, affiliated and related persons and entities and all of their officers, directors, shareholders, members, managers, agents, employees and representatives are the “Promotion Parties”.

**This Promotion is in no way sponsored, endorsed or administered by, or associated with, Facebook, Twitter, Instagram or any other social network or platform. You understand that you are providing your information to Promotion Entities, and not to Facebook, Twitter, Instagram or any other social network or platform.**

The OSL Parties (as defined herein) and San Francisco’s Outside Lands Music and Arts Festival ® are not sponsors of the Sweepstakes, and are in no way responsible for the administration of the Sweepstakes, the verification of winner, the fulfillment of prizing or any other aspect of the Sweepstakes. None of the OSL Parties are Promotion Entities. OSL Guide LLC is the presenter of  San Francisco’s Outside Lands Music and Arts Festival. All inquiries regarding the Promotion should be directed to Sponsor and not to the OSL Parties or San Francisco’s Outside Lands Music and Arts Festival. OSL Parties means: OSL Guide, LLC, and all of its parent, subsidiary, affiliated and related persons and entities and of the officers, directors, shareholders, managers, members, employees, agents and representatives of each of the foregoing.

**2. HOW TO ENTER:**

Beginning on **August 1st, 2023**, at 12pm PST through **August 5th**, 2023, at 11:59 PM PST, go to[ ](https://www.instagram.com/liquidiv/,)[https://www.instagram.com/liquidiv/,](https://www.instagram.com/liquidiv/, "https://www.instagram.com/liquidiv/,") follow @LIQUIDIV on Instagram, and find the post on @LIQUIDIV’s Instagram account for the **Outside Lands 2023 Ticket Giveaway.** Enter between 12:00 PM Pacific Standard Time (“PST”) on **August 1, 2023**, and 11:59 PM PST on **August 5, 2023** (the "Entry Period"). You must enter this giveaway by online entry. You must (i) like the **Outside Lands 2023 Ticket Giveaway** Post on @LIQUIDIV’s Instagram account, (ii) save the **Outside Lands 2023 Ticket Giveaway** Post on Instagram and, (iii) you must tag a friend in the comments, (iv) for bonus entry, share the **Outside Lands 2023 Ticket Giveaway** Post to your IG story. Successful submission of all required information shall be considered an “Entry.” UNLIMITED ENTRIES ALLOWED PER INSTAGRAM ACCOUNT.

Your Instagram account must be set to public at time of entry and until the winner has been confirmed, as entries with a private account setting may not be captured. If you do not have an Instagram account, visit www.instagram.com to register for free. Registration for and use of the Instagram platform is subject to the Instagram terms and conditions, and Promotion Parties have no responsibility with respect to such registration or use of the Instagram platform. Promotion Parties are not responsible for the functionality of the Instagram platform, including changes that may interfere with the Promotion or the ability of a potential entrant to participate in the Promotion.

NOTE: Winner will be selected via random draw from all eligible entries received regardless of content in comment.

For all entries:  
Each entrant is eligible to submit up to one (1) Promotion entry per Method Of Entry during the Promotion Period, regardless of method or combination of Methods Of Entry or number of entries submitted. Total entries into the Promotion not to exceed one (1) per entrant. Multiple entrants are not permitted to share the same email address or other relevant account. Any attempt by you to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void your entries and you may be disqualified. Use of any repetitive, automatic, programmed or similar technology, system or agent (including without limitation promotion entry services) to enter is prohibited and will void all of your entries. Any automated receipt (such as one confirming delivery of text message or e-mail) does not constitute proof of actual receipt by Administrator of an entry. Promotion Entities are not responsible for lost, late, incomplete, invalid, unintelligible or misdirected entries, which will be disqualified. All entries become the property of Administrator and none will be acknowledged or returned.

**3. ELIGIBILITY:**

Open to residents of the 50 United States and D.C., 18 years of age and older as of **August 1st, 2023**, except for **Sponsor**, ,  Promotion Entities,  Promotion Parties and OSL Parties,  and their affiliates, subsidiaries, and agencies and members of their immediate family or persons living in the same household. Void where prohibited by law.

**4. DRAWING:**

A random drawing will be conducted on or about **August 7, 2023** by Sponsor to select the winner from among all eligible entries received. Odds of winning depend on the number of entries received. Selected Grand Prize Winners will be notified by Instagram Direct Message using information provided at time of entry and must respond within one (1) business day to give a valid email address where notification of potential winner status and required documents as described below can be sent. Failure to respond within the applicable time period will result in forfeiture of prize and Sponsor shall have the option to award the prize to an alternate winner. The return of any prize notification or prize as undeliverable may result in disqualification and an alternate winner may be selected. All income taxes resulting from acceptance of prize are the responsibility of winner. By entering this sweepstakes, entrant accepts and agrees to these Official Rules and the decisions of the Sponsor, which shall be final in all matters. Acceptance of a prize also constitutes permission to the Promotion Parties to use winner's name for marketing purposes without further compensation or right of approval, unless prohibited by law. All federal and state laws apply.

**5. LIMITATION OF LIABILITY:**

By entering this sweepstakes, entrants waive all right to, and hold the Sponsor, Promotion Entities and  Promotion Parties, OSL Parties and Instagram harmless from, any claim, liability, loss, damage (including punitive, incidental, and consequential damages), or expense (including attorneys' fees) arising out of or in connection with participation in this sweepstakes or the acceptance, use, or misuse of any prize. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. Promotion Parties will not be responsible for: late, incomplete, or incorrect entries; an entrant's failure to receive prize notices due to entrant's spam, junk e-mail, or other security settings or for entrants' provision of incorrect or otherwise non-functioning contact information; technical, hardware, or software malfunctions, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled, or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or used in this sweepstakes; by any human error which may occur in the processing of the entries in this sweepstakes; or any typographical, technological, or other error in the publishing of the offer, administration of the sweepstakes, or announcement of the prize. If, in the Sponsor's opinion, there is such an error, or there is any suspected evidence of tampering with any portion of the sweepstakes, or if technical difficulties (including viruses and bugs) compromise the integrity of the sweepstakes, Sponsor reserves the right to request that the Sponsor, in its sole discretion, cancel or modify this sweepstakes in a manner deemed appropriate by the Sponsor. In the event of termination, winners will be selected from among all eligible entries received as of date of termination. In the event a dispute arises as to the identity of a potentially winning entrant, entries will be declared made by the name on the online entry form.

**6. PRIZE AND RELEASE:**

Total prize value: $1,015.90. One (1) Grand Prize will be awarded to one (1) winner using the selection process described below and satisfaction of eligibility requirements set forth above. The Grand Prizes will consist of:

Two (2) Three-Day General Admission Passes to **Outside Lands Music Festival 2023** scheduled for August 11-13, 2023, at Golden State Park in San Francisco, CA (the “Event”).

**The Winner and any Guest of any Winner must complete an Affidavit and Release. A form of Winner Affidavit and Release and Guest Affidavit and Release are attached hereto as Exhibit “A”. All expenses not specifically mentioned herein, including without limitation, airfare, hotel accommodations, ground transportation, transfers, hotel amenities, fees and gratuities, meals, personal expenses such as photos, souvenirs, and passport fees, are the responsibility of the winner and guest.**

No substitution or transfer of prize permitted by winner. Sponsor reserves the right to substitute a prize of equal or greater value. All prizes will be awarded. If a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner by random drawing from among all remaining eligible entries. Only three (3) alternate drawings will be held, after which the prize will remain un-awarded.

**Releases:  By participating, entrant indemnifies, releases and agrees to hold harmless (a) Sponsor, Promotion Entities, Promotion Parties and the OSL Parties and each of their respective parent companies, partners, subsidiaries, divisions, affiliates, prize suppliers, and advertising and promotion agencies (collectively “Released parties); and (b) the directors, officers, agents, representatives, shareholders, employees, successors and assigns of any of the above Released Parties; from any and all liability arising from participating in the Sweepstakes (including but not limited to risk of illness or even death arising directly or indirectly, in whole or part, from contracting COVID-19/Coronavirus), any Sweepstakes-related activity and/or the acceptance, receipt, possession or use/misuse of the prize (as applicable). Without limiting the foregoing, Released Parties make no representation, warranty or guarantee of any kind regarding prize or any part thereof; this includes but is not limited to the warranty of merchantability or fitness for intended purpose. Except where prohibited by law, acceptance of a prize constitutes winner’s agreement to the use of his/her name, address (city, state), likeness, image, voice, photograph or other indicia of persona and/or statements regarding the Sponsor or the Sweepstakes for advertising, publicity and trade purposes by Sponsor and its designees, without further compensation or any notice or approval of any kind.**

ENTRANTS AND WINNERS (INCLUDING GUESTS) AGREE that the release given herein shall be a full, final an general release of all claims, known or unknown and releasors waive the benefits of California Civil Code Section 1542 which reads as follows:

**A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.**

Sponsor makes no warranties, and hereby disclaims any and all warranties, express or implied, concerning the prize furnished in connection with the Sweepstakes. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, THE PRIZE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT. THE ONLY WARRANTIES ON THE PRIZE (IF ANY) ARE THOSE OF APPLICABLE PRIZE SUPPLIER, WHICH ARE EXPRESSLY LIMITED TO THEIR TERMS – IF ANY – AND  ARE THOSE OF THE PRIZE SUPPLIER

**7. CHOICE OF LAW AND FORUM:**

Entrant agrees that all matters arising out of or relating to this sweepstakes and these Official Rules are governed by, and construed in accordance with, the laws of **California**, without giving effect to any of its conflict of laws provisions thereof. Entrant further agrees that any legal suit, action, or proceeding arising out of or relating to this sweepstakes and these Official Rules shall be brought exclusively in the applicable federal or state courts located in Los Angeles, California.

**9. WINNERS LIST:**

For the name of the prize winner, available after **August 7, 2023**, send a self-addressed, stamped #10 envelope to Sponsor at the address set forth in Section 10.
