Watch-Box Sweepstakes Celebrating the Release of The Little Mermaid (“Sweepstakes”) is LIV Group, Inc., dba Liquid I.V. (“Sponsor” or “Liquid I.V.”). “Sweepstakes Entities” are the Sponsor and their parent, subsidiary, affiliated and related persons and entities and all of their officers, directors, shareholders, members, managers, agents, employees and representatives.

This Sweepstakes is in no way sponsored, endorsed or administered by, or associated with, Facebook, Twitter, Instagram or any other social network or platform. You understand that you are providing your information to Sweepstakes Entities, and not to Facebook, Twitter, Instagram or any other social network or platform.

The Disney Parties (as defined herein) are not sponsors of the Sweepstakes, and are in no way responsible for the administration of the Sweepstakes, the verification of winner, the fulfillment of prizing or any other aspect of the Sweepstakes. None of the Disney Parties are Sweepstakes Entities. All inquiries regarding the Sweepstakes should be directed to Sponsor and not to the Disney Parties. “Disney Parties” shall mean: Walt Disney Studios Motion Pictures, and all of its parent, subsidiary, affiliated and related persons and entities and of the officers, directors, shareholders, managers, members, employees, agents and representatives of each of the foregoing.

2\. HOW TO ENTER:

Beginning on September 6th, 2023, at 12pm PST through September 10th, 2023, at 11:59 PM PST (the “Entry Period”) to enter, go to Sponsor’s Instagram page located at [https://www.instagram.com/liquidiv/](https://www.instagram.com/liquidiv/) and (i) follow Sponsor’s account @LIQUIDIV on Instagram, (ii) follow @disneylittlemermaid on Instagram as well, (iii) find the Sweepstakes post on Sponsor’s Instagram account @LIQUIDIV and like the Sweepstakes post and (iv) comment “how you make a splash with Liquid I.V.” on the Sweepstakes post with the #sweepstakes in the comment. Successful submission of all required information shall be considered an “Entry”, collectively referred to herein as the “Entries”.

Your Instagram account must be set to public at time of entry and until the winner has been confirmed, as Entries with a private account setting may not be captured. If you do not have an Instagram account, visit [www.instagram.com](//www.instagram.com) to register for free. Registration for and use of the Instagram platform is subject to the Instagram terms and conditions, and Sweepstakes Entities have no responsibility with respect to such registration or use of the Instagram platform. Sweepstakes Entities are not responsible for the functionality of the Instagram platform, including changes that may interfere with the Sweepstakes or the ability of a potential entrant to participate in the Sweepstakes.

NOTE: Winner will be selected via random draw from all eligible Entries received regardless of content in comment.

For all Entries:

Each entrant is eligible to submit up to one (1) Sweepstakes Entry during the Entry Period. Total Entries into the Sweepstakes not to exceed one (1) per entrant. Multiple entrants are not permitted to share the same email address or other relevant account. Any attempt by you to obtain more than the stated number of Entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void your Entries and you may be disqualified. Use of any repetitive, automatic, programmed or similar technology, system or agent (including without limitation sweepstakes entry services) to enter is prohibited and will void all of your Entries. Any automated receipt (such as one confirming delivery of e-mail) does not constitute proof of actual receipt by Sponsor of an Entry. Sweepstakes Entities are not responsible for lost, late, incomplete, invalid, unintelligible or misdirected Entries, which will be disqualified. All Entries become the property of Sponsor and none will be acknowledged or returned.

3\. ELIGIBILITY:

Open to residents of the 50 United States and D.C., 18 years of age and older as of July 31, 2023, or the age of majority in their state of legal residence, whichever is older, except for Sponsor, Sweepstakes Entities, Sweepstakes Entities and Disney Parties, and their affiliates, subsidiaries, and agencies and employees thereof and members of their immediate family or persons living in the same household. Void where prohibited by law.

4\. DRAWING:

A random drawing will be conducted on or about September 12, 2023 by Sponsor to select 5 winners from among all eligible Entries received. Odds of winning depend on the number of Entries received. Selected winners will be notified by Instagram Direct Message on September 12, 2023 using information provided at time of entry and must respond within one (1) business day to give a valid email address where notification of potential winner status and required documents as described below can be sent. Failure to respond within the applicable time period will result in forfeiture of prize and Sponsor shall have the option to award the prize to an alternate winner. The return of any prize notification or prize as undeliverable may result in disqualification and an alternate winner may be selected. All income taxes resulting from acceptance of prize are the responsibility of winner. By entering this Sweepstakes, entrant accepts and agrees to these official rules (“Official Rules”) and the decisions of the Sponsor, which shall be final in all matters. Acceptance of a prize also constitutes permission to the Sweepstakes Entities to use winner's name for marketing purposes without further compensation or right of approval, unless prohibited by law. All federal and state laws apply.

5\. LIMITATION OF LIABILITY:

By entering this Sweepstakes, entrants waive all right to, and hold the Sponsor, Sweepstakes Entities, Sweepstakes Entities, Disney Parties and Instagram harmless from, any claim, liability, loss, damage (including punitive, incidental, and consequential damages), or expense (including attorneys' fees) arising out of or in connection with participation in this Sweepstakes or the acceptance, use, or misuse of any prize. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. Sweepstakes Entities will not be responsible for: late, incomplete, or incorrect Entries; an entrant's failure to receive prize notices due to entrant's spam, junk e-mail, or other security settings or for entrants' provision of incorrect or otherwise non-functioning contact information; technical, hardware, or software malfunctions, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled, or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or used in this Sweepstakes; by any human error which may occur in the processing of the Entries in this Sweepstakes; or any typographical, technological, or other error in the publishing of the offer, administration of the Sweepstakes, or announcement of the prize. If, in the Sponsor's opinion, there is such an error, or there is any suspected evidence of tampering with any portion of the Sweepstakes, or if technical difficulties (including viruses and bugs) compromise the integrity of the Sweepstakes, Sponsor reserves the right to request that the Sponsor, in its sole discretion, cancel or modify this Sweepstakes in a manner deemed appropriate by the Sponsor. In the event of termination, winner will be selected from among all eligible Entries received as of date of termination. In the event a dispute arises as to the identity of a potentially winning entrant, Entries will be declared made by the owner of the Instagram handle.

6\. PRIZES AND RELEASE:

Prize is not redeemed for cash. No substitution or transfer of prize permitted by winner. Sponsor reserves the right to substitute a prize of equal or greater value. All prizes will be awarded. If a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner by random drawing from among all remaining eligible Entries. Only three (3) alternate drawings will be held, after which the prize will remain un-awarded.

Releases: By participating, entrant indemnifies, releases and agrees to hold harmless (a) Sponsor, Sweepstakes Entities, Sweepstakes Entities, Meta Platforms, Inc. and the Disney Parties and each of their respective parent companies, partners, subsidiaries, divisions, affiliates, prize suppliers, and advertising and promotion agencies (collectively “Released Parties”); and (b) the directors, officers, agents, representatives, shareholders, employees, successors and assigns of any of the above Released Parties; from any and all liability arising from participating in the Sweepstakes, any Sweepstakes-related activity and/or the acceptance, receipt, possession or use/misuse of the prize (as applicable). Without limiting the foregoing, Released Parties make no representation, warranty or guarantee of any kind regarding prize or any part thereof; this includes but is not limited to the warranty of merchantability or fitness for intended purpose. Except where prohibited by law, acceptance of a prize constitutes winner’s agreement to the use of his/her name, address (city, state), likeness, image, voice, photograph or other indicia of persona and/or statements regarding the Sponsor or the Sweepstakes for advertising, publicity and trade purposes by Sponsor and its designees, without further compensation or any notice or approval of any kind.

ENTRANTS AND WINNER AGREE that the release given herein shall be a full, final an general release of all claims, known or unknown and releasors waive the benefits of California Civil Code Section 1542 which reads as follows:

A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.

Sponsor makes no warranties, and hereby disclaims any and all warranties, express or implied, concerning the prize furnished in connection with the Sweepstakes. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, THE PRIZE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT. THE ONLY WARRANTIES ON THE PRIZE (IF ANY) ARE THOSE OF APPLICABLE PRIZE SUPPLIER, WHICH ARE EXPRESSLY LIMITED TO THEIR TERMS – IF ANY – AND ARE THOSE OF THE PRIZE SUPPLIER.

7\. CHOICE OF LAW AND FORUM:

Entrant agrees that all matters arising out of or relating to this Sweepstakes and these Official Rules shall be resolved individually, without resort to any form of class action, and are governed by, and construed in accordance with, the laws of California, without giving effect to any of its conflict of laws provisions thereof. Entrant further agrees that any legal suit, action, or proceeding arising out of or relating to this Sweepstakes and these Official Rules shall be brought exclusively in the applicable federal or state courts located in Los Angeles, California.

9\. WINNERS LIST:

For the name of the prize winners, available after September 12, 2023, send a self-addressed, stamped #10 envelope to Sponsor at the address set forth in Section 10.
